I am not sure if this will help or not, but I got this from the Logitech forums:

I ran into this same problem when I upgraded from setpoint 2.40 to 3.10. I solved it by renaming/removing 4 DLL's in c:\program files\logitech\setpoint\, which also exist in c:\windows\system32\. Just rename or delete kemutb.dll, KemUtil.dll, KemWnd.dll and KemXML.dll in your c:\program files\logitech\setpoint\ directory and it should work like it's supposed to.
