If that was the case, don't you think it would mention a split license SOMEWHERE ON THEIR SITE? The only place it shows up is on a rant he posted on someone else's blog. Multiple times on the Headway Themes site does it mention the GPLv2.

Sorry man. Regardless of what he says, you haven't shown us anything that proves this while I'm showing you plenty of evidence on THEIR OWN SITE that they are releasing their code under GPLv2. This means fris was well within his rights to do what he did. And that's not taking into account that he paid them more for developer rights and access, which ALSO gives him the right to allow his "clients" to make use of these on their sites.

The only thing they can do is cancel his account, again as per their terms. But that's about it. Sour grapes because they are forced into this license by Wordpress.
