When someone wanting to do business with you wants to let you in on what they are up to, but they legally want to bind you from telling anyone else about it they have you sign one.

They are pretty much worthless, but its good to have one anyway if you have something unique you are developing and raising capital for and need to present it prior to its public launch.

They are usually referred to as NDA's.

It's the thing you let the bank sign before you ask them to give you money for developing a great little gadget you invented. They evaluate that it is rubbish, deny you the money and you suprisingly notice that someone else produces the same kind of gadget a few month later.
